1. Who can use ZipInvo

You may use ZipInvo if you are at least 18 years old and legally able to enter a contract under Indian law. ZipInvo is designed for small businesses, professionals and service providers operating in India who need to issue GST documents.

2. Your account

You sign up with an email address. You're responsible for keeping your sign-in credentials confidential and for everything that happens under your account. Notify us at support.divergeix@gmail.com if you suspect any unauthorised use.

One account may host multiple businesses. Each business has its own credit balance and its own document numbering series.

3. Free trial and paid credits

Your first business gets a 14-day free trial with up to 100 credits (each document — invoice, credit note, quotation, or receipt — costs one credit). When the trial ends or you create additional businesses, you can buy credit packs to keep generating documents.

Pricing is displayed in INR at the point of purchase. Credit packs do not expire. Credits belong to the specific business they were bought for and cannot be transferred between businesses or refunded once consumed.

Refund policy: credit packs are non-refundable once purchased. Unused credits remain available for as long as your account is active.

4. Your data is yours

Every invoice, credit note, client record, business profile and PDF you create on ZipInvo belongs to you. We don't claim ownership of any of it. You can export all your data at any time from the Manage Businesses screen.

Invoice data is stored locally in your browser (IndexedDB) and optionally backed up to your own Google Drive if you enable Cloud Backup. We do not have access to that backup folder. Account-level metadata (email, business name, phone, credit balance) is stored on our servers in Microsoft Azure (Central India region).

5. GST compliance — your responsibility

ZipInvo generates documents based on the information you enter, applying GST rules as we understand them. We make reasonable efforts to keep the formulas and PDF layouts aligned with the CGST Act, IGST Act, and related rules and notifications.

However, you are responsible for: the accuracy of GSTINs, HSN/SAC codes, rates and amounts entered; filing returns (GSTR-1, GSTR-3B, etc.) on time; reconciling ITC; and ensuring your invoices comply with any industry-specific or state-specific rules that apply to you. ZipInvo is a tool, not a tax advisor — when in doubt, consult a chartered accountant or GST practitioner.

6. Acceptable use

You agree not to:

• Use ZipInvo to issue false, misleading, or fraudulent invoices
• Use the Service to evade tax, launder money, or facilitate any illegal activity
• Reverse-engineer, scrape, or attempt to access the Service other than through the intended user interface
• Resell, sublicense, or rent the Service to third parties without our written permission
• Use bots or automated scripts to consume credits in bulk
• Upload content that violates someone else's intellectual property, privacy, or rights

Violation of this section may result in immediate suspension or termination of your account, with credit balance forfeited.

7. Service availability

We aim to keep ZipInvo running smoothly, but we don't guarantee uninterrupted access. Planned maintenance, infrastructure changes, third-party outages (Azure, email providers, payment gateway), or factors outside our control may cause downtime. Because invoices are also stored locally in your browser, you can continue viewing and exporting past documents even when our servers are unreachable.

8. Modifications to the Service

We may add, change, or remove features at any time as the product evolves. Material changes that affect how you use ZipInvo (e.g., pricing changes) will be communicated by email or via a notice in the app at least 30 days in advance.

9. Termination

You can stop using ZipInvo at any time. To delete your account entirely, email us at support.divergeix@gmail.com and we'll remove your server-side data within 30 days. Your locally stored data (in your browser's IndexedDB) remains on your device until you clear it.

We may suspend or terminate your account if you breach these Terms, attempt to harm the Service or other users, or if a payment chargeback / dispute is initiated against us.

10. Disclaimers

ZipInvo is provided as-is and as-available. We don't warrant that the Service will be error-free, uninterrupted, or that it will fit your particular use case. GST law changes; while we try to keep up, we don't warrant that the Service is always aligned with the latest amendments.

11. Limitation of liability

To the maximum extent permitted by law, ZipInvo, its operators, and its affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of your use of the Service.

Our total liability for any claim arising out of or in connection with these Terms or the Service will not exceed the amount you paid us in the 12 months preceding the claim, or ₹10,000, whichever is greater.

12. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with the Service or these Terms will be subject to the exclusive jurisdiction of the courts at Bhubaneswar, Odisha.

13. Changes to these Terms

We may update these Terms from time to time. The current version always lives at this URL. The “Last updated” date at the top reflects the most recent change. If a change materially affects your rights, we'll email you at least 30 days before it takes effect.
